These Terms of Service (Terms) govern your access to and use of the EstimAI website, software, and related services (the Service). By creating an account, accessing, or using EstimAI, you agree to these Terms. If you do not agree, do not use the Service.
1. Overview of the Service
EstimAI provides AI-powered software tools designed to assist contractors and trade businesses with estimating, pricing, scheduling, customer management, and related business operations.
EstimAI provides decision-support tools only. We do not provide construction services, contracting services, engineering services, legal advice, or financial advice.
2. Eligibility
You must be at least 18 years old and legally able to enter into contracts to use the Service. You agree to provide accurate account and business information.
3. Accounts
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Keeping your account information current
You must notify us promptly of any unauthorized use of your account.
4. Acceptable Use
You agree not to:
- Misuse the Service, attempt to access it without authorization, or disrupt its operation
- Reverse engineer, copy, scrape, or attempt to extract source code or model prompts
- Upload or transmit malware or malicious code
- Use the Service to violate laws or third-party rights
5. Subscriptions, Billing, and Refunds

- Renewals: Subscriptions typically renew automatically unless canceled.

6. AI Output and Estimating Disclaimer
The Service may generate estimates, recommendations, material lists, labor assumptions, or other outputs using automated systems (AI Output). AI Output may be inaccurate, incomplete, or not appropriate for your specific project.
You acknowledge and agree that:
- You are solely responsible for reviewing and verifying all AI Output before use
- You are solely responsible for your pricing, bids, proposals, schedules, and job decisions
- EstimAI does not guarantee accuracy, profitability, code compliance, or project outcomes
- EstimAI is not responsible for underbidding, lost profits, project overruns, delays, missed appointments, or customer disputes
7. Data, Privacy, and Customer Information
Your use of the Service is also governed by our Privacy Policy. By using the Service, you agree to our data practices as described there.
- Your Data: You retain ownership of the business data you submit (including pricing inputs and customer information).
- Service Improvement: We may use aggregated and de-identified data to improve the Service and analytics.
- Responsibility: You are responsible for ensuring you have the right to collect and upload customer data.
8. Intellectual Property
EstimAI and its software, branding, design, and content are owned by EstimAI (or its licensors) and are protected by applicable laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes while your account is active and in good standing.
9. Third-Party Services
The Service may integrate with or depend on third-party services (for example: payment processors, AI model providers, analytics providers, or accounting software). EstimAI is not responsible for third-party services and does not control their terms or performance.
10. Suspension and Termination
We may suspend or terminate your access to the Service if we believe you have violated these Terms, misused the Service, or if required to comply with law.
You may stop using the Service at any time. Termination may result in loss of access to your account and data, subject to applicable law and our data retention practices.
11. Disclaimer of Warranties
The Service is provided as is and as available. To the maximum extent permitted by law, EstimAI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, EstimAI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from or related to your use of the Service.
To the maximum extent permitted by law, EstimAI's total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to EstimAI in the three (3) months preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless EstimAI and its owners, employees, and affiliates from any claims, damages, liabilities, and expenses (including attorneys fees) arising out of or related to your use of the Service, your violation of these Terms, or your disputes with customers or third parties.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. You agree that any disputes will be brought in the courts located in Delaware, unless otherwise required by law.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the Service. Continued use after changes means you accept the updated Terms.
